1. ACCEPTANCE OF TERMS OF USE

These Terms of Use (“Terms”) constitute an agreement between Société de Gestion du Réseau Informatique des Commissions Scolaires (“GRICS” or “we”), a non-profit corporation, and any user (“User” or “Users” or “you”) using the GRICS Mozaïk-Portail Parents solution available via the website (“Online Services”) or from a downloadable app (“Mobile Services”) (collectively, the “Services”).

The Services are developed and operated by GRICS for the school service centre, school board or educational institution (the “School Body”) attended by your child to facilitate his/her interactions with you and are offered to you free of charge by GRICS through a subscription the School Body has with GRICS.

Please contact your School Body if you have any questions regarding information provided by the Services or the handling by the School Body of your data or your child’s data which the School Body is able to access via the Services.

GRICS’s only obligations and responsibilities to you are detailed herein and in the Privacy Policy.

By accessing or using the Services, you agree to abide by the following Terms with respect to your access and use of the Services and our Privacy Policy.

IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE IMMEDIATELY STOP USING THE SERVICES.

GRICS reserves the right to update and modify these Terms and the Privacy Policy at any time without prior notice. We recommend that you review the Terms from time to time for updates and changes that may affect you. Your use of the Services after such updates and changes means that you accept them. 

2. CONTENT OF SERVICES

The Services are a tool for interacting with other users authorized by you or your School Body and for accessing and displaying certain information that you provide about you or your child or that is collected by the School Body or any third party authorized by you or the School Body (“Authorized Third Party”).

The Services may include web pages, data, messages, text, images, photographs, audio-visual or video content, GRICS documents, including, without being limited to, news releases, technical documents and product specs, as well as forums, discussion groups, chat areas, ticketing, bulletin boards, email functions and other services where you can view, receive, upload, download, share, email, publish, send or make available content, data or information (“Your Content”) or access certain content, data or information that the School Body, an Authorized Third Party, or any other authorized user may share with you.  GRICS shall not be responsible for any content, information or data provided by said users or by the School Body and Authorized Third Parties, and makes no representation as to the accuracy of such content, information or data. 

3. SECURITY AND PASSWORD 

In order to use the Services, you must follow the registration process by providing us with up-to-date, complete and accurate information. A password, personal identification number (PIN) and any other method of authentication (“Authentication Information”) will also be required. 

You agree not to share your Authentication Information with anyone. When you log in to our Services, you are responsible for protecting any user IDs, passwords and personal identification questions used for this purpose. We are not responsible for any damage you may incur as a result of unauthorized or illegal use of any user ID, password, or personal identification question, or your failure to ensure the security and confidentiality thereof. 

You can delete your account by visiting the following URL:  https://fournisseuridentite.mozaikportail.ca/,  under the Deletion menu. This action will permanently erase your account and is irreversible.

4. YOUR CONTENT 

You shall retain exclusive ownership of Your Content with respect to GRICS at all times. Contact your School Body to find out what the situation is in this respect based on its legal rights or the terms and conditions between you and it in relation to your use of the Services.

You agree to only download, share, publish, send or otherwise make available, in any manner whatsoever, on the Services content you are allowed and authorized to share and for which you are allowed and authorized to grant all the licences and rights hereunder to GRICS.

By sharing Your Content, you grant GRICS a worldwide, perpetual, royalty-free, non-exclusive licence to use, reproduce, modify, adapt, translate, publish, display, disseminate, transmit and distribute Your Content solely for the purpose of using the Services and in accordance with the Privacy Policy. You warrant that: (a) You are allowed and authorized to grant said licence; (b) the exercise of GRICS’s rights granted under this licence does not violate the rights of any third party; (c) you waive any moral rights you may have in respect of all Your Content, even if modified or changed.

You warrant to ensure that the information associated with your account and needed to use the Services is true. For example, said identification information may contain information such as the User’s name, e-mail address or telephone number. GRICS reserves the right to request supporting documentation from Users or their School Body to ensure the accuracy of their identification information. 

If you choose to submit photos on the Services or include other images of actual people, you must make sure that they represent you or represent you with someone you know, and you must obtain this other person’s express permission. 

5. INTELLECTUAL PROPERTY

All rights, titles and interests in all intellectual property rights related to the Services and all modifications, extensions, scripts and other works derived from the content of the Services shall be the exclusive property of GRICS or its licensors. Any rights not granted to the User under these Terms shall remain exclusive to GRICS. Any adaptation or dissemination is prohibited unless previously authorized. 

In connection with your use of the Mobile Services, and subject to your strict compliance with the Terms, GRICS grants you a limited, non-exclusive, revocable, non-transferable and personal licence to download and copy (temporary storage only of the website and downloading and storage of the mobile app), display, view, use and read the Mobile Services on a personal computer, mobile phone or other wireless device, or any other device with Internet access, or print a copy of the Mobile Services (excluding the source code and object code in a raw or other format) as displayed to you, in each case solely for your personal and non-commercial use. Said limited licence does not grant you any property rights or intellectual property interest in the Mobile Services, and may be suspended or terminated immediately for any reason, at the sole discretion of GRICS and subject to the provisions of the School Body’s subscription agreement, without prior notice and without liability. Under no circumstances may you reverse engineer, decompile, translate, modify or create derivatives of the application.

GRICS may, at its sole discretion and for any purpose whatsoever, use, modify and incorporate into its products and services the ideas that originate from the comments, recommendations and suggestions sent to it by you, whether published on forums or other GRICS consultation tools, without being obligated toward you or without having to recognize your moral rights. 

6. RESTRICTIONS

You represent and warrant that at the present time, and throughout your use of the Services, you will use the Services with judgment while respecting the laws in force and the specific terms of use relating to the Service being used, if any. 

You must not: (i) Redistribute content displayed or found on the Services; (ii) record or collect the personal data of another user; (iii) use the Services in a manner that contravenes applicable local, federal/provincial and foreign laws, including, without being limited to, privacy, electronic communications and anti-spam legislation; (iv) illegally access the Services, make illegal use of them, or take any action that is likely to disrupt or alter the proper functioning or integrity of the Services; (v) directly or indirectly contest, usurp or violate the intellectual property rights, titles and interests of GRICS or its licensors, or participate in or facilitate the commission of such acts; (vi) impersonate another user or any other person; (vii) provide any false identifying information or Authentication Information; (viii) use, store, share, host, copy, distribute, display, publish, transmit or send data that are or may be considered offensive, inflammatory, hateful, or defamatory, discriminatory, obscene, abusive, vulgar, an invasion of privacy, harmful to others, or otherwise objectionable; (ix) delete, obscure, or alter legal notices posted in or in association with GRICS’s Services.

GRICS may, at its sole discretion and subject to the provisions in the School Body’s subscriber agreement, limit your access to the Services or prohibit you from accessing and using the Services if it determines, at its sole discretion, that you have breached the Terms. You agree that GRICS shall not be liable to you or any other third party for the termination or suspension of your access or use of the Services.

In accordance with its subscriber agreement with GRICS, the School Body may provide other restrictions and conditions applicable to your use of the Services. In such a case, please contact the latter if you would like more information. 

7. ACCESS TO MOBILE SERVICES

 When using the Mobile Services, you may not have access to all of the features, functions, content and information specific to our Online Services, and these may not be accessible in any territory other than Canada. You are also responsible for any fees charged by a service provider that you may incur in the use of our Mobile Services. 

8. AVAILABILITY OF PRODUCTS OR SERVICES

The Services may contain references to products or services provided by GRICS that are not necessarily available in your region or from your School Body. Such references do not mean that GRICS plans to make such products or services available in your region or from your School Body. 

9. THIRD PARTY SERVICES

GRICS may recommend that you access or use third party applications, products, services or website links (collectively, the “Third Party Services”). The possible link to such Third Party Services does not mean that we approve the content, products or services of such Third Party Services. These Third Party Services are offered only for practical reasons, and the purchase, access or use of these Third Party Services concerns only you and the applicable third party service provider (“Third Party Provider”). Any use you make of the Third Party Services provided through GRICS’s Services or website is solely your responsibility, and you are responsible for reading the terms and conditions and/or the privacy policies applicable to such Third Party Services before using them. GRICS shall not be liable for any direct, indirect, incidental, specific, consequential, punitive, extraordinary, exemplary or other damages resulting from any Third Party Service or your contractual relationship with a Third Party Provider. These limitations shall apply even if GRICS has been made aware of the possibility of such damage. 

10. CANCELLATION AND SUSPENSION OF ACCOUNT 

Notwithstanding any other provisions of the Terms to the contrary, GRICS may, at its sole discretion and subject to the provisions of the subscriber agreement entered into by the School Body with GRICS, without any prior notice or delay, for as long as reasonably necessary, interrupt and suspend your access to the Services under the following conditions: 

  • If GRICS has reason to believe that you have not complied with the Terms;
  • If deemed necessary to prevent any unauthorized access to certain User data and emergency action is required;
  • In case of a threat to network security or the Services and emergency action is required; or
  • If the subscriber agreement between GRICS and your School Body ends;

All without compensation. 

11. NO WARRANTY

GRICS STRIVES TO PROTECT THE SERVICES AND KEEP THEM FREE OF ERRORS, BUT YOU AGREE TO USE THE SERVICES AT YOUR OWN RISK. GRICS PROVIDES YOU WITH “AS IS” AND “AS AVAILABLE” SERVICES WITHOUT ANY EXPRESS, IMPLIED OR STATUTORY REPRESENTATION OR WARRANTY NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FURTHERMORE, NEITHER GRICS NOR ITS AFFILIATES OR THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS MAKE ANY REPRESENTATIONS OR WARRANTIES AS TO RELIABILITY, SUITABILITY, QUALITY, ADEQUACY OR AVAILABILITY OF THE SERVICES OR OF ANY SERVICE OR PRODUCT REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR FREE OF ERRORS. 

12. LIMITATION OF LIABILITY 

Except in the event of gross negligence or wilful misconduct on its part, GRICS shall not be liable to you for any fault or damage, either direct or indirect, that may result from (i) use of the Services, (ii) any changes to the Services by any person other than GRICS or one of its suppliers, (iii) any modification, alteration, entry or manipulation of the databases needed for the use or operation of the Services by any person other than GRICS, (iv) any introduction of viruses or malware affecting the operation of the Services, and (v) difficulty accessing the Services. 

13. DISCLAIMER

UNDER NO CIRCUMSTANCES SHALL GRICS OR ITS ADVISORS OR ITS RESPECTIVE OR AFFILIATED SUPPLIERS BE HELD LIABLE FOR SPECIFIC, INDIRECT OR CONSEQUENTIAL DAMAGE OR ANY DAMAGE RESULTING FROM LOSS OF USE, OR LOSS OF DATA OR PROFITS AS PART OF A CLAIM FOR CONTRACTUAL, EXTRACONTRACTUAL OR OTHER LIABILITY, ARISING FROM ACCESS OR USE OF THE SERVICES AND THEIR CONTENT, INABILITY TO ACCESS THE SERVICES, THEIR UNUSABLE NATURE, THE INACCURACY OF THEIR CONTENT, INCLUDING REFERENCES TO THIRD PARTY SERVICES. 

14. COMPENSATION

You agree to defend, indemnify and hold harmless GRICS and its directors, officers, advisors and representatives from all claims and expenses, including, without being limited to, legal fees (collectively, the “Fees”), to the extent such Fees are attributable to any breach by you of any representation, warranty or other obligations set forth in these Terms or arising out of your use of the Services.  

15. NON-WAIVER

The fact that GRICS has not insisted on the full performance of any undertaking described in these Terms or has not exercised any of the rights granted herein shall not be construed as a waiver of such right or the full performance of any such undertaking in the future. Unless provided to the contrary, any waiver by GRICS of any of the rights shall only take effect if documented in writing and shall only apply to the rights and circumstances expressly set out in the waiver. 

16. SEVERABILITY AND HEADINGS

If one or more of the provisions of these Terms are found to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the validity, legality and enforceability of the remaining provisions of these Terms shall not be affected. The headings of these Terms have been included for reference purposes only and shall not change the meaning or scope of these provisions. 

17. SPECIAL TERMS AND CONDITIONS 

Some parts of the Services may contain rules, guidelines, licence agreements, terms of sale, user agreements or other additional terms that apply to your access or use of these areas of the Services (including the terms and conditions applicable to a company or other organization and its users). In case of any contradiction or inconsistencies between these Terms and the rules, guidelines, licence agreements, user agreements or other terms and conditions for a specific area of the Services or a specific service, the latter shall take precedence regarding your access and use of this area of the Services.

18. APPLICABLE LAW

These Terms shall be interpreted in accordance with the laws applicable in the Province of Quebec, Canada, without regard to its conflict-of-law rules. You warrant that any dispute or controversy arising or resulting from these Terms shall be subject to the exclusive jurisdiction of the courts of Quebec in the jurisdiction of Montreal. 

19. PRECEDENCE

At all times, the specific provisions of the subscriber agreement entered into by the School Body with GRICS for the Services shall take precedence with respect to said School Body in the event of any inconsistencies with these Terms.
